1. About these terms

These terms govern use of the partner portal at lenses.theglassesbasket.com and any orders placed through it. The portal is operated by The Glasses Basket LTD, a company registered in England and Wales (company number 16508334), whose registered office is at 5 Brook Avenue, Wembley, Greater London, HA9 8PH ("we", "us"). By requesting an account or placing an order, you agree to these terms.

2. Business customers only

This is a partner portal for optician businesses. It is not intended for consumers, and consumer rights that apply to consumer contracts do not apply here. By using the portal you confirm you are acting in the course of a business. Access is restricted to approved optical partner businesses (practices, dispensing opticians, and eyewear retailers).

3. Accounts

• Account requests are subject to our approval and we may decline or revoke access at our discretion. • We use one-time email codes to log you in. You are responsible for keeping access to your registered email secure and for all activity under your account. • You must keep your account details accurate and tell us promptly of any changes. • We may suspend or close accounts for breach of these terms or suspected misuse.

4. Catalogue, pricing and availability

• Product listings and partner pricing are an invitation to treat, not an offer. We may correct errors in pricing or descriptions at any time. • Prices are exclusive of VAT unless stated. VAT will be added where applicable. • Partner pricing is confidential to you (see clause 10) and is subject to change. • Availability is not guaranteed until an order is accepted.

5. Orders and contract formation

• You may order frame only, glazing only, or frame + glazing. • Submitting an order is an offer to buy. A binding contract forms only when we accept the order, which we confirm by email when the order is marked as accepted. • We may decline or cancel an order before acceptance, including for stock, pricing errors, or credit reasons. • You are responsible for the accuracy of all prescription data submitted. We accept no liability for errors in prescriptions provided by you. • For any query about an order, contact info@theglassesbasket.com.

6. Payment

Unless a credit account has been agreed with us in writing, payment is due against the invoice we issue when your order is accepted. We accept payment by bank transfer to the account shown on the invoice. Where a credit account is in place, our standard terms are payment within 30 days of the invoice date. To pay by debit or credit card, please contact us to arrange payment, or arrange payment on delivery. We reserve the right to charge interest and reasonable costs on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998.

7. Glazing, bespoke items, returns and faulty goods

• Bespoke glazing is made to your specification and cannot be cancelled or returned once production has begun, except where faulty. • For non-bespoke stock (frame-only orders): returns accepted unused and in original packaging within 14 days of receipt. • Faulty or incorrectly supplied goods: notify us within 7 days of receipt with photographic evidence; we will repair, replace, or refund in line with the statutory implied terms for business contracts.

8. Delivery

Orders are typically glazed and dispatched within 24–48 hours of acceptance. Lead times are estimates from order acceptance, not guarantees. Risk in the goods passes to you on delivery, and title to the goods passes to you on receipt of full payment.

9. Limitation of liability

• Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited. • Subject to that, we are not liable for indirect or consequential loss, loss of profit, or business interruption. • Subject to the above, our total liability arising out of or in connection with any order is limited to the price paid for that order.

10. Confidentiality

Partner pricing, catalogue terms, and any non-public information made available through the portal are confidential and must not be disclosed to third parties.

11. Intellectual property

All content on the portal (text, images, catalogue data, branding) is owned by or licensed to us and may not be copied or reused except to place orders.

12. Data protection

We process personal data in line with our Privacy Policy.

13. Suspension and termination

We may suspend or withdraw the portal, or any account, with or without notice for breach, misuse, or operational reasons.

14. Changes

We may update these terms. Continued use after changes means you accept them.

15. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
